This Driver Agreement ("Agreement") is between HadarGo (legal entity to be confirmed) ("HadarGo", "we", "us") and you, an independent courier who uses the HadarGo platform to find and carry out delivery jobs. The Terms of Service and Privacy Policy also apply. If they conflict with this Agreement on a matter concerning your deliveries, this Agreement controls.
1. Independent contractor, not an employee
You provide delivery services as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship between you and us, or between you and any shop. You are responsible for your own taxes, insurance, and the vehicle, bicycle or other means you use to make deliveries, and for its running costs.
You choose when to go online and when to go offline. There is no shift, no minimum hours and no schedule set by us. Going online is not a promise to accept any particular job, and passing on an offer carries no penalty. You decide your own route, and you may use the Platform alongside other work, including for other delivery apps.
2. Who can deliver
To deliver, you must meet the minimum age set by the platform (at least 18), be legally allowed to work in the United States, and, if you deliver by motor vehicle, hold a valid driver's licence, the registration and insurance the law requires for that vehicle, and any other licence your area requires. You must keep all of these valid while you are online.
3. Applying, documents and background checks
Your application is reviewed by a person before you can accept your first delivery. You upload your driver's licence (front and back), proof of insurance and a photo of yourself, and give your vehicle details. We may approve, reject, or ask for more information.
We may ask you to complete a background check. A check is only carried out with your separate written authorisation and the disclosures the law requires, through a background check provider. We track its status (not started, in progress, clear or flagged), and if a result may lead us to decline you, we will follow the legal process, including giving you a copy and a chance to respond.
You must keep your documents current. We may place your account under review or suspend it if a required document expires, is rejected on review, or is not provided when requested.
4. AI help with document review
To help a person review them, the identity and insurance documents you upload may be processed by an AI service provider acting for us (Anthropic, PBC), which reads fields such as your name, date of birth and expiry dates, and checks them against what you entered. This happens when a reviewer asks for a document to be read, or automatically if that setting is on.
The AI never approves or rejects an application; a member of our staff checks the document and makes every decision. Only the last four characters of a licence number are kept from that reading, and what was read is deleted when you replace the document.
5. Pay, and no guaranteed work
We do not guarantee any number of deliveries, hours or amount of income. What you earn depends on the jobs you choose to accept and what is available near you.
Each job's pay is shown to you before you accept it, using our courier compensation rule in force at that moment (a base amount plus per-mile and per-minute amounts, with a minimum). Once you accept, that amount is fixed on the job and does not change, even if the delivery takes longer than estimated or the rule changes later that day.
Your pay is set by us and does not depend on the delivery fee the customer paid, which belongs to us. Tips: 100% of any tip a customer adds to an order you deliver is yours; we keep no part of it. If a customer is refunded after you have been paid, we do not take your pay or tip back.
How you are paid. Payouts go through Stripe. To be paid you open your own Stripe Express account from the driver app ("Set up payouts") and agree to Stripe's terms, including the Stripe Connected Account Agreement. Stripe, not us, verifies your identity and holds your bank details. When you complete a delivery we send that job's pay plus its tip to your Stripe account, and Stripe pays it to your bank on its automatic payout schedule. If you have not finished setting up payouts, your earnings are held for you, shown in the driver app, and sent as soon as Stripe enables payouts on your account.
You are responsible for reporting your earnings and paying your own taxes; we or Stripe will issue any tax forms the law requires.
6. Location and customer addresses
Your location is shared with us only while you are online or carrying a delivery. It is used to offer you nearby jobs and, once you accept one, to show your position on the map to the customer and the shop until the delivery is complete. Customers also see your first name and vehicle description, so they can recognise you.
Before you accept a job you see only a rough area for the drop-off. The exact address is shown once you accept that job and stays visible for 15 minutes after the delivery is marked complete, after which it is removed from your job history. You must use customer details only to complete that delivery, never contact customers for any other reason, and never keep or share their addresses.
7. Safe and professional deliveries
- Obey traffic laws and never use your phone in a way that is unsafe or illegal while driving or riding.
- Keep food sealed and as the shop packed it. Never open, tamper with or eat from an order.
- Treat customers, shop staff and the public with respect. Harassment, discrimination or threats will lead to deactivation.
- Do not deliver while impaired by alcohol or drugs.
- Do not let anyone else use your account or make deliveries in your place.
- You may decline or stop a job if you reasonably believe it is unsafe; tell support straight away.
If you are involved in an accident or a safety incident during a delivery, get help first, then tell us through support as soon as you can.
8. Ratings
Customers may rate a delivery. Ratings help us spot problems and may be considered, together with other facts, in decisions about your account. A single rating will not by itself lead to deactivation.
9. Suspension, rejection and deactivation
We may suspend or deactivate your account for reasons including: a pattern of cancelled or abandoned deliveries after acceptance, a verified customer or shop complaint, a safety concern, a failed background or document check, fraud, or a breach of this Agreement.
Suspension takes you offline immediately and pauses new offers. It does not by itself affect deliveries already in progress, which should be completed or handed back through support. We will tell you the reason where it is safe and lawful to do so, and you can contact support to ask for a decision to be reviewed. You may stop using the Platform at any time.
10. Problems with a delivery or your pay
If you believe you were paid incorrectly for a delivery, or a customer or shop disputes something about a delivery you made, either side may open a case through the Platform's dispute process. Our staff review it and may ask for your account of events. A decision does not by itself move money; any correction is handled separately.
11. Your information
We handle your personal information, including your documents and location, as described in the Privacy Policy. You can download your data or delete your account from your account page; deleting it deactivates your courier account, while delivery and payment records are kept as the law requires.
12. Insurance, liability and indemnity
You are responsible for carrying the insurance the law requires for the way you deliver, and for checking that your policy covers delivery work. Unless we tell you otherwise in writing, we do not provide insurance for you or your vehicle.
To the fullest extent the law allows, HadarGo (legal entity to be confirmed) is not liable for indirect or consequential losses, and our total liability to you under this Agreement is limited to the pay you earned through the Platform in the 3 months before the claim, except where the law does not allow such a limit. You will indemnify HadarGo (legal entity to be confirmed) against third-party claims arising from your negligence, your breach of law, or your breach of this Agreement.
13. Governing law and arbitration
This Agreement is governed by the laws of the State of Maryland and, for the agreement to arbitrate, the Federal Arbitration Act, to the extent it applies. Any dispute between you and us arising out of this Agreement or your deliveries will be resolved as set out in the arbitration and class action waiver section of the Terms of Service, including your right to opt out within 30 days. Nothing here prevents you from filing a charge with a government agency.
14. Changes to this Agreement
We may update this Agreement. A material change will be shown to you for acceptance before it applies to you. Changes never alter the pay on a job you have already accepted.
